A DVD Family Portrait
PRODUCTION AGREEMENT

THIS SALES AGREEMENT (the “agreement”) dated this _______day of ___________(month) _______(year) BETWEEN:

Worthwhile Movies Limited of 191 Logan Avenue, Toronto, Ontario, CANADA (the “Seller”) OF THE FIRST PART

-AND-

_________________________________________________________ (the “Purchaser”) OF THE SECOND PART

IN CONSIDERATION OF THE COVENANTS and agreements contained in this Production Sales Agreement, the parties to this Agreement agree as follows:

1. Sale of Goods
The Seller will sell, transfer and deliver to the Purchaser on or before (date)______________ the following goods (the “Goods”):

1. One CD of all the Purchaser’s delivered original photographic material.

2. One DVD of all the Purchaser’s delivered original film and video material.

3. One CD copy of all preliminary music selections.

4. One DVD copy of the 1st cut or "rough assembly".

5. One DVD MASTER of the finished project in a customized box.

6. One DVD Copy of the finished project in a customized box.

2. Purchase Price
The Purchaser will accept the Goods and pay for the Goods with the total purchase price of_________________.

The schedule of payments is as follows.

a. Down payment of 25% of the total purchase price or ________________ on signing of this agreement.

b. 2nd payment of 50% of the total purchase price or ___________________on delivery of the 1st edited "rough assemby" version of the project.

c. Final payment of 25% of the total purchase price or__________________on delivery of the finished Master DVD and one DVD Copy.

d. Out-of-Town travel expenses will be negotiated in advance and be payable immediately upon completion of such travel.

e. Additional editing after completion and delivery of the final edited version of the DVD family portrait is optional and may be negotiated upon the completion of this contract.

The Seller and the Purchaser both acknowledge the sufficiency of this consideration.
In addition to the purchase price specified in this Agreement, the amount of any present sales and goods and services tax applicable to the sale of the Goods will be paid by the Seller to the applicable taxing authorities.

3. Payment for the Goods
Payment for the Goods will be made to the Seller when the Goods have been delivered to the Purchaser who will provide a signed receipt.

4. Delivery of Goods
The Goods will be deemed received by the Purchaser when delivered to the Purchaser at (Purchaser’s address)__________________________________________.

The method of shipment will be within the discretion of the Seller. The Seller will be responsible for all costs for delivery of the Goods.

5. Risk of Loss
Risk of Loss of the Goods (the finished DVD family portrait Master DVD and DVD copy) will be on the Seller until delivery to the Purchaser.

Risk of Loss of any and all of the Purchaser’s original material delivered between the Seller and the Purchaser will be on the Purchaser. Every reasonable effort will be made by the Seller to protect this original material.

6. Warranties
a. THE GOODS ARE SOLD “AS IS” AND THE SELLER EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESSED OR IMPLIED.

b. The Purchaser has been given the opportunity to inspect the Goods or to have it inspected and the Purchaser has accepted the Goods in its existing condition upon completion of the 1st cut (or preliminary version) of the DVD project. The final version of the DVD project will be done in consultation with the Purchaser and will be deemed as final and complete upon delivery of the Goods.

c. The DVD project or Goods are intended for private use only. The Seller does not assume, or authorize any other person to assume on behalf of the Seller, any liability in connection with the sale or public showing of the Goods.

7. Title
Title to the Goods will remain with the Seller until delivery and actual receipt and payment for the Goods by the Purchaser.
